Lsany for Business Terms
These Lsany for Business Terms (“Business Terms”) apply when a company, government body, or other organization (“Customer”) buys or receives Lsany for Business from LSANY PORTAL, Trade Licence No. 1620246, Dubai, United Arab Emirates (“Lsany”).
These Business Terms form part of the agreement together with the applicable proposal or order form, the Terms of Service, the Privacy Policy, and the Business Data Processing Addendum. An order form controls its commercial details; the Data Processing Addendum controls Customer Personal Data; these Business Terms control the business service.
1. Service & Agreed Outcome
Every seated learner receives the complete zero-to-conversation Foundation course, Library, AI Suite, general scenarios, and Saqr Calls included in the business plan. Customer may also assign standard Emirati at Work tracks and purchase company-specific customization, onboarding, assessments, certificates, and organizational reporting.
Lsany’s commitment is to deliver the training coverage, customization, assessment, reporting, support, and rollout stated in the order form. Lsany does not guarantee automatic fluency, a particular employee performance, sales, revenue, retention, regulatory compliance, or another business result. Learning outcomes depend on participation, practice, prior knowledge, and the Customer’s rollout.
2. Seats, Administrators & Learners
- Customer may assign purchased seats only to its authorized employees, contractors, or other approved learners
- Customer must keep owner and manager credentials secure, appoint only appropriate administrators, and promptly remove access when it is no longer authorized
- A training admin may view permitted outcomes but cannot invite users, assign or release seats, change job roles, assign tracks, or remove members
- Customer is responsible for obtaining any workplace notice, authorization, or lawful basis needed to enroll learners and assign role-specific training
- Accounts are individual and may not be shared; seats may be reassigned only as permitted by the order form and product controls
3. Company Customization
Customer may submit roles, terminology, services, approved policy wording, workflows, difficult interactions, escalation rules, and communication channels. Customer confirms it has the right to supply and use that material. Customer must not include employee, customer, patient, or other personal or sensitive data in the training brief.
Submitted material remains a customization input until reviewed and approved through Lsany’s content process. Lsany will not invent Customer’s legal, medical, financial, employment, compliance, or safety policy. Customer is responsible for checking company-specific facts and approving them before rollout. A change to approved input may require renewed review.
Customer grants Lsany a limited licence to use submitted material only to configure, create, test, deliver, and support Customer’s training. Customer retains ownership of its pre-existing material. Lsany retains ownership of its platform, course design, language content, templates, tools, code, and improvements that do not disclose Customer confidential information.
4. Employee Privacy & Reporting
Employers see training outcomes, not private learning behavior. The default dashboard contains seats and invitations; aggregate started, in-progress, completed, certified, and role-readiness results; individual completion and certification status; and employee-requested support. Aggregate readiness data is hidden for cohorts smaller than five.
Customer will not receive XP, streaks, exact activity times, failed-attempt counts, wrong answers, raw pronunciation scores, voice recordings, Saqr transcripts, private practice history, private assessment scores, or rankings. Individual milestone visibility may be enabled only where it was disclosed before enrollment and the required product and legal controls are in place. Learners can inspect the same employer-visible record.
Customer must not use Lsany outcomes as the sole basis for a disciplinary, dismissal, compensation, promotion, safety-critical, or other decision that has a serious effect on a learner.
5. Fees, Taxes, Term & Changes
Seat quantity, fees, taxes, payment timing, plan term, renewal, included tracks, customization, and cancellation are stated in the order form. Unless the order form says otherwise, fees are in AED and exclude taxes that must be separately stated. Customer must pay undisputed invoices by the stated due date.
Lsany may improve the service and teaching experience during the term. We will not materially reduce the paid training coverage during the committed term without providing an appropriate remedy. Additional roles, tracks, services, or custom work require written agreement.
6. Confidentiality & Security
Each party will protect the other party’s non-public business, technical, and commercial information using reasonable care and use it only to perform the agreement. Confidentiality does not cover information that is public without breach, already lawfully known, independently developed, or lawfully received from another source. A party may disclose information when legally required after giving notice where permitted.
Lsany uses technical and organizational measures appropriate to the service, including encrypted transport, access controls, entitlement checks for paid content, role-based business reporting, rate limits, monitoring, and privacy-separated outcome reporting. No online service can promise absolute security. Customer must notify Lsany promptly of suspected unauthorized access.
7. Intellectual Property & Acceptable Use
Lsany and its licensors own the Services and course content. Customer receives a limited, non-exclusive, non-transferable right during the agreed term to let authorized learners use the Services for internal training. Customer and learners may not scrape, bulk export, copy, reproduce, redistribute, resell, publish, reverse engineer, circumvent access controls, share accounts, or use the Services to build a competing dataset, model, course, or product.
Reasonable internal screenshots of outcome dashboards may be used for Customer’s administration if they do not disclose another learner’s data beyond authorized recipients. Course lessons, answer sets, scenarios, calls, Library records, recordings, source material, and code may not be captured or redistributed.
8. Suspension & Termination
Lsany may suspend affected access where reasonably necessary to stop a security threat, unlawful use, material non-payment, infringement, or serious breach. Where practicable, Lsany will give notice and limit the suspension to the affected account or feature. Either party may terminate for an uncured material breach after reasonable written notice, unless immediate action is required by law or security risk.
On expiry or termination, learner access ends as stated in the order form. Payment obligations, confidentiality, intellectual property, data-protection, and liability provisions survive where their nature requires. Data is handled under the Data Processing Addendum and applicable law.
9. Warranties, Liability & Law
Each party warrants that it has authority to enter the agreement. Lsany warrants that it will provide the business service with reasonable care and skill and substantially in accordance with the order form. Except for rights that cannot be excluded, other warranties are excluded to the maximum extent permitted by law.
Neither party is liable for indirect or consequential loss, loss of profit, revenue, goodwill, or anticipated savings, except to the extent such exclusion is prohibited. Unless the order form states a different negotiated cap, each party’s aggregate liability under the business agreement is limited to fees paid or payable for the affected Services during the twelve months before the event giving rise to the claim. This cap does not apply where liability cannot lawfully be limited.
The agreement is governed by UAE law. Subject to mandatory rights and any dispute process agreed in the order form, Dubai courts have jurisdiction.
